Terms of Service & Licensing
Enterprise Software Engineering, IP Transfer & SLA Policy
Executive Summary
These Terms of Service govern the delivery of custom enterprise software engineering, cloud infrastructure architecture, algorithmic engines, and turnkey deployments of Adviting CallCRM and EduCampus ERP. Upon final invoice settlement, clients receive full intellectual property ownership or perpetual self-hosted licenses with zero per-seat licensing penalties.
Welcome to Adviting Digital Technologies ("Adviting", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Client", "you", or "your") and Adviting Digital Technologies regarding your access to our website (advitingdigital.com), custom software development services, turnkey software products, and private cloud implementations.
1. Enterprise Software Engineering & Turnkey Systems
Adviting Digital Technologies designs, develops, and deploys high-performance enterprise systems across six core engineering verticals:
- Custom Web & Cloud Platforms: High-concurrency web applications, microservices, RESTful/GraphQL APIs, and enterprise cloud portals.
- Mobile App Engineering (iOS & Android): 60 FPS native (Swift, Kotlin) and cross-platform (Flutter, React Native) mobile applications with offline-first caching and biometric security.
- Adviting CallCRM: Contact center PBX operating systems featuring Asterisk telephony, predictive dialers, automatic call distribution (ACD), call recordings, and live agent telemetry.
- Adviting EduCampus ERP: Multi-branch institutional ERP platforms managing admissions, biometric RFID attendance, multi-tiered fee collections, and student/parent portals.
- Enterprise AI & Autonomous Workflow Orchestration: Private document retrieval-augmented generation (RAG), vector databases, smart LLM routers, and autonomous conversational agents.
- Algorithmic Fintech Engines: Quantitative execution pipelines, low-latency financial APIs, and order telemetry.
2. Intellectual Property (IP) Transfer & Source Code Rights
We believe in transparent software ownership without vendor lock-in:
- Bespoke Custom Software: For custom web applications, bespoke APIs, and tailored mobile apps, 100% of the developed source code, repository commits, architecture designs, and intellectual property are irrevocably transferred to the Client upon receipt of final milestone payment.
- Turnkey IP Platforms (CallCRM & EduCampus ERP): Deployed under a perpetual, non-exclusive, royalty-free commercial enterprise license for the Client's organization. The Client receives full self-hosted source code access for internal customization and private deployment.
- Zero Per-Seat Fees: Turnkey deployments carry zero recurring per-user, per-agent, or per-student licensing penalties. You may scale seats freely on your own private infrastructure.
3. Client Responsibilities & Engineering Prerequisites
To ensure milestone timelines and operational stability, the Client agrees to:
- Provide necessary server credentials, cloud infrastructure access (AWS, GCP, DigitalOcean, or private dedicated hardware), and domain DNS delegation in a timely manner.
- For Adviting CallCRM deployments, procure and maintain valid SIP trunks, GSM gateways, or telecom PRI lines compliant with local telecommunications regulations (e.g., TRAI/DoT guidelines in India).
- Participate in scheduled User Acceptance Testing (UAT) sprints and provide consolidated engineering feedback within five (5) business days of milestone handovers.
4. Milestone Deliveries, Invoicing & Payments
Enterprise engagements proceed through structured agile development milestones:
- Milestone Staging: Projects are divided into transparent stages: (1) Architecture Blueprint & UI Prototype, (2) Core Engineering Build, (3) System Integration & Testing, and (4) Production Deployment & Handover.
- Payment Schedules: Invoices are generated per approved milestone and payable via bank wire transfer or authorized payment gateways (Razorpay). Work on subsequent milestones initiates upon clearance of preceding milestones.
- Deposits & Non-Refundability: Retainers and milestone payments cover committed senior engineering hours, compute provisioning, and code deliverables. Payments for completed and approved milestones are non-refundable.
5. Service Level Agreement (SLA) & Warranty
Every enterprise production handover is backed by our technical warranty:
- Warranty Bug Remediation: We provide a 30-day comprehensive warranty following production deployment, during which any reproducible software defects, API errors, or broken functionality are remediated at zero additional cost.
- Enterprise SLA Retainers: Ongoing maintenance retainers include 24/7 uptime monitoring, critical security patching, operating system updates, database indexing, and guaranteed incident response times (Critical P1 issues addressed within 2 hours).
- Uptime Exclusions: Uptime guarantees exclude outages caused by third-party upstream providers (AWS/GCP outages, cloud SIP trunk failures, Meta WhatsApp API outages, or Client server configuration changes).
6. Telephony & Artificial Intelligence Acceptable Use Policy
Clients utilizing Adviting CallCRM, algorithmic engines, or conversational AI bots must adhere strictly to lawful conduct:
- Telecommunications Compliance: Clients deploying auto-dialers must comply with national telemarketing regulations, DND (Do Not Disturb) registries, and call recording disclosure laws. Adviting Digital Technologies disclaims liability for regulatory infractions arising from client dialing campaigns.
- AI Safety & Fair Use: Conversational AI agents and document intelligence tools must not be configured for deceptive impersonation, malicious code generation, or unlawful surveillance.
7. Mutual Confidentiality (Non-Disclosure)
Both parties acknowledge that during the course of software architecture and deployment, proprietary business logic, trading algorithms, corporate SOPs, and system configurations may be disclosed. Both parties agree to hold all such information in strict confidence, applying at least the same degree of care as with their own proprietary assets, and shall not disclose it to any unauthorized third party.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Adviting Digital Technologies shall not be held liable for indirect, incidental, punitive, or consequential damages—including loss of anticipated revenue, business disruption, stock trading losses from algorithmic engine execution, or third-party telecom provider outages. Our aggregate cumulative liability arising from any contract or software deployment shall not exceed the total fees actually received by us from the Client for the specific milestone giving rise to the claim.
9. Governing Law & Dispute Resolution
These Terms and all enterprise software contracts executed by Adviting Digital Technologies shall be governed by, construed, and enforced in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in Indore, Madhya Pradesh, India.
10. Modifications to Terms
We reserve the right to revise these Terms to align with statutory updates or advancements in our software engineering standards. Updated versions will be published on this page with the revision date indicated. Continued engagement following updates signifies acceptance of the amended Terms.
